The shareholders’ decision-making rights in Dedicare are exercised at the Annual General Meeting, which is the Company’s highest decision-making body.
The Annual General Meeting is to be held within six months from the end of each financial year.
At the Annual General Meeting, decisions will be made on, among other things, establishing the income statement and balance sheet for the company and for the Group, allocating the profit for the year according to the adopted balance sheet, discharge from liability for the Board of Directors and the CEO, appointment of board members and the company’s auditors and making decisions on certain other matters in accordance with the law and the Articles of Association (see also “Articles of Association”). Shareholders who wish to have a matter dealt with at the Annual General Meeting must submit a written request to the board in good time before the Annual General Meeting.
All shareholders who are registered in the share register kept by Euroclear on the record date and registered in the manner prescribed by the articles of association have the right to attend the general meeting, in person or through a representative.
Notice of the Annual General Meeting is made by law and in the manner prescribed by Dedicare’s Articles of Association. The notice rules comply with the requirements that apply to public limited companies whose shares are listed on a regulated market.
Annual General Meeting 2020
The Annual General Meeting will take place on Thursday, April 23, 2020 at 4 pm at the company’s head office, Ringvägen 100, 10 tr in Stockholm.
Nomination
The Nomination Committee for the Annual General Meeting consists of Angelica Hanson (AMF Funds), Björn Örås (personal holdings) and Monica Åsmyr (Swedbank Robur Fonder AB), which together represent owners with almost 80 percent of the voting rights for all shares in the company.
