The Board’s responsibility and work models
The Board is annually appointed by the Annual General Meeting with a term of office until the end of next annual meeting. The board is to account for the organisation and the administration of the company, as well as to continuously assess the financial situation of the corporate group and to evaluate the operative management. For its work the Board has adopted written working regulations which, inter alia, regulates the number of Board meetings, the matters to be submitted to the Board and the chairman’s duties. The Board’s work is also governed by, inter alia, applicable regulations in the Companies Act and the Code.
Composition of the Board
The Board is responsible for renumeration and audit matters, therefore Dedicade has not appointed a separate renumeration or audit committee. In view of the number of Board members, the size of the company and the independence of all members, in relation to the company and the management, the Board considers that this constitutes an effective work to deal with renumeration and audit issues. The question of appointment of committees is examined each year in connection with the Board’s appointment.
